The rules for using LISN.

1. Agreement to these terms

These Terms of Service ("Terms") form a legally binding agreement between you and LI Sports Network ("LISN," "we," "us," "our") governing your access to and use of lisportsnetwork.com (the "Site") and the services we provide (the "Services"). By accessing the Site, submitting a form, or engaging our Services, you accept these Terms. If you do not agree, do not use the Site or engage our Services.

These Terms incorporate by reference our Privacy Policy. Where you engage LISN under a separate written quote, proposal, statement of work, or partner agreement (each, a "Service Agreement"), that Service Agreement governs the specific engagement and controls over any inconsistent language in these Terms.

2. Definitions

• Site — lisportsnetwork.com and any related subdomains operated by LISN.
• Services — live streaming, broadcast production, game recording, multi-camera packages, highlight and recruiting-video production, The Highlight Machine, sponsorship placements, partner programs, and any related services LISN offers.
• Broadcast — any live or on-demand audio, video, or graphics production created by LISN, including linear streams, archived recordings, highlight clips, and derivative works.
• Client — a league, team, club, event organizer, athlete, family, sponsor, or other party engaging LISN for Services under a Service Agreement.
• Content — text, images, logos, audio, video, graphics, and other material, whether produced by LISN or provided by a Client or user.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to enter into a Service Agreement or submit a contractual form on the Site. Services involving minors are engaged by a parent, legal guardian, coach, or authorized organization. By entering a Service Agreement, you represent that you have the legal authority to do so on behalf of any organization you name.

4. What we do

LISN produces broadcast-grade live streams, game recordings, highlight and recruiting videos, and related video products for sports leagues, teams, clubs, athletes, and sponsors. We also sell sponsorship and advertising placements inside our Broadcasts and on our distribution channels.

Availability, scope, and pricing for the Services may change. Prices shown on the Site are general guidance and do not constitute a binding offer; every engagement is confirmed in a Service Agreement.

5. Quotes, agreements, and fees

• Quotes. Quotes are valid for 30 days unless stated otherwise and are contingent on availability at the time of booking.
• Payment terms. Unless a Service Agreement specifies otherwise, invoices are due net 30 from invoice date. Late amounts accrue interest at 1.5% per month or the maximum permitted by law, whichever is less.
• Deposits. Some engagements require a non-refundable deposit to reserve production dates, equipment, and crew.
• Cancellations. Cancellation fees, rescheduling windows, and weather/force-majeure handling are specified in the Service Agreement.
• Refunds. Refunds are governed by the Service Agreement. In the absence of a specific provision, fees for Services performed are non-refundable.
• Taxes. Fees are exclusive of applicable sales, use, or other taxes, which are your responsibility unless we are required by law to collect them.

6. Broadcasts, recording, and likeness

LISN Broadcasts are produced at public or ticketed sporting events and distributed free on YouTube and within our owned-and-operated properties. Broadcasts include video, audio, and graphics of players, coaches, officials, spectators, venues, and sponsor placements.

Appearance in a Broadcast

If you participate in or attend a public event covered by LISN, you grant LISN a non-exclusive, perpetual, royalty-free, worldwide license to record, edit, publish, and distribute your image, voice, name, jersey number, team affiliation, and in-game statistics as captured during the event. This license extends to Broadcasts and derivative works, including highlight clips, recruiting samples, marketing materials, and partner co-productions.

Youth athletes

Coverage of youth amateur and scholastic sports is arranged through the hosting league, school, or event organizer. That organization is responsible for collecting any parental or guardian consents its own participation rules require. LISN relies on the host organization's confirmation that required consents are in place.

Removal and edit requests

A parent, legal guardian, or participating adult may request removal or editing of identifiable footage. Submit requests per Section 19 with the date, event, and clip detail. We evaluate and respond to requests in good faith; editorial archives of public events may not always be fully removable.

7. Content ownership and licenses

• LISN content. All Broadcasts, production assets, and Site content created by LISN — including footage, audio, graphics, scorebugs, highlight edits, copy, and the Site itself — are owned by LISN or our licensors and protected by U.S. and international copyright, trademark, and other intellectual-property laws.
• Client license. Under a Service Agreement, LISN may grant a Client a non-exclusive, revocable, non-transferable license to use specified Broadcast content for purposes stated in that agreement (e.g., coaching review, recruiting submissions, team social media). Any use outside those purposes requires LISN's written permission.
• LISN marks. "LI Sports Network," "LISN," "GameCenter," "The Highlight Machine," and related logos and graphics are trademarks of LI Sports Network. You may not use them without written permission except for factual references or permitted partner usage.
• Feedback. If you send us suggestions or feedback, you grant LISN a perpetual, royalty-free license to use it without restriction or compensation.

8. Your content

When you submit Content to LISN — logos, creative assets, ad copy, athlete footage, rosters, statistics, testimonials, or form inputs — you grant LISN a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that Content as needed to provide the Services and promote the related engagement.

You represent that you own the Content or have all rights necessary to grant this license, that the Content does not infringe any third-party rights, and that its use as intended does not violate any applicable law.

9. Acceptable use

When using the Site or Services, you agree not to:

• Submit false, misleading, or impersonated information.
• Scrape, mirror, copy, or redistribute Broadcasts or Site content without written permission.
• Reverse engineer, probe, or attempt to disrupt the Site, its hosting, or its security measures.
• Use the Site or Services to transmit spam, malware, or unlawful content.
• Infringe any intellectual property, privacy, publicity, or other right of LISN or any third party.
• Use the Services to harass, threaten, or harm any person — particularly youth athletes, officials, or spectators depicted in our coverage.
• Use automated systems (bots, scrapers, crawlers) to access the Site in a manner that sends more request messages to our servers than a human could reasonably produce, except for public search-engine indexing consistent with our robots directives.

We reserve the right, but not the obligation, to investigate and take action against violations.

10. Copyright policy and DMCA

LISN respects the intellectual property of others and expects users to do the same. If you believe Content on the Site infringes your copyright, send a written notice under the Digital Millennium Copyright Act (17 U.S.C. §512) that includes:

• Your physical or electronic signature.
• Identification of the copyrighted work claimed to be infringed.
• Identification of the material alleged to be infringing and its location on the Site (URL).
• Your contact information (mailing address, phone, email).
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.

We may remove material in response to valid notices and may terminate the access of users who are repeat infringers. If you believe material was removed in error, you may submit a counter-notice that complies with 17 U.S.C. §512(g).

11. Third-party platforms and links

Broadcasts are distributed on YouTube and may appear on partner channels. Your use of YouTube and any third-party platform is subject to that platform's own terms and privacy policy. The Site may contain links to third-party websites — including those of leagues, teams, sponsors, and partners — provided for convenience. We do not endorse, control, or assume responsibility for the content, policies, or practices of any third-party site or service.

12. Disclaimer of warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, LISN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS; THAT BROADCASTS WILL BE DELIVERED WITHOUT TECHNICAL ISSUES; OR THAT INFORMATION ON THE SITE IS COMPLETE, CURRENT, OR ACCURATE.

Some jurisdictions do not allow certain warranty exclusions, so some of these may not apply to you.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LISN AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SITE, BROADCASTS, OR SERVICES, WHETHER IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT LISN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO LISN IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply regardless of the form of action. Some jurisdictions do not allow the limitation of certain damages, so some of these may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless LISN and its officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your violation of any law or the rights of a third party; (c) any Content you submit to LISN; and (d) your use of the Site or Services in violation of a Service Agreement.

15. Term and termination

These Terms apply whenever you access the Site or use the Services and continue until terminated. We may suspend or terminate your access to the Site or Services at any time, with or without notice, for violation of these Terms, suspected fraud or abuse, or for the security of our systems or users. Sections that by their nature should survive termination (e.g., content ownership, disclaimers, liability, indemnification, dispute resolution) will survive.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. You and LISN agree to the exclusive jurisdiction of the state and federal courts located in Nassau or Suffolk County, New York for any dispute arising out of or relating to these Terms, the Site, or the Services, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual-property rights.

Before filing a claim, each party agrees to try in good faith to resolve the dispute informally by contacting the other and allowing 30 days to respond.

17. Changes to these terms

We may update these Terms as the business or legal environment changes. When we do, we will update the "Last updated" date at the top. Material changes will be posted prominently on the Site for at least 30 days. Continued use of the Site or Services after the effective date of an update constitutes acceptance of the updated Terms.

18. General provisions

• Entire agreement. These Terms, together with the Privacy Policy and any applicable Service Agreement, are the entire agreement between you and LISN regarding the Site and Services, and supersede any prior or contemporaneous communications on that subject.
• Severability. If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified only to the minimum extent necessary.
• No waiver. A failure to enforce a provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice (for example, as part of a merger or sale of assets).
• Notices. We may provide notices by posting to the Site, by email to the address on your account or Service Agreement, or by postal mail. You should provide notices to us at the contact details in Section 19.
• Force majeure. Neither party is liable for delay or failure to perform due to events beyond its reasonable control, including weather, acts of God, labor disputes, internet or carrier outages, governmental actions, public-health emergencies, or cancellation of an event by its organizer.
• Independent contractors. No agency, partnership, joint venture, or employment relationship is created by these Terms or a Service Agreement.
• Headings. Section headings are for convenience only and do not affect interpretation.
